Definitions:

• WyPoint is an Arizona corporation whose business is the coordination of mutually beneficial exchanges of garment services for revenue between the public and various participating cleaners.
• A Customer is a legal person or business entity who has agreed to participate in the WyPoint system and is in agreement with these Customer WyPoint Term and Conditions.
• Garment Services are actions performed to enhance the current quality or condition of garments. These services may include, but are not limited to; laundry, dry cleaning, wet cleaning, pressing, repairs, and alterations.
• A Cleaning Service is an independent business entity offering garment services to customers through the WyPoint system. A cleaning service may clean the garments themselves, or subcontract these services to a third party.
• A Cleaning Service is an independent contractor and is in agreement with these WyPoint Term and Conditions, as well as additional Terms and Conditions extended by WyPoint to these participating Cleaning Serves.
• A Cleaning Service Profile is a description of a given cleaning service. WyPoint staff review these profiles for functionality, but do not warrant the profile as true and correct.
• A Customer Profile contains the name, contact information, billing tools, delivery addresses, and email use options for a given Customer.
• A Merchant Service is a third party who coordinates the financial aspects of a WyPoint transaction.
• A Claim is a request for monetary compensation for a garment lost or ruined  by a Cleaning Service.
• A Gift is the collection and forwarding of a percentage amount of an order payment to an agreed-upon third party.
• A coupon is a discount offered by a Cleaning Service which is available to all Cleaning Service customers.
• A promotion is a discount offered by a cleaning service to who ever is n possession the specified promotion code.
• A Marketing Group is a list of customers assembled by a given Cleaning Service. Any promotion offered to a Marketing Group by a specific Cleaning Service is only available to the listed names.

Contract:

• When a Customer places an order with a Cleaning Service selected through WyPoint, an implied contract is created between that selected Cleaning Service and the Customer. WyPoint is not a party to this contract.
• WyPoint is responsible for the creation of the contract between the selected Cleaning Service and the Customer, and receives compensation for this contracting service through the retention of a commission.
• WyPoint is responsible for the collection of order payments and the deposit of Cleaning Service proceeds to the designated Cleaning Service account.
• Neither the Customer, nor the Cleaning Service, will employ WyPoint for illicit business activities.
• If the Customer selects a Gift, and the Cleaning Service has agreed to that Gift, and WyPoint will deliver that Gift to the intended Gift Organization in its entirely within ninety (90) days.

Payment Procedures

• All WyPoint transactions are to be paid with a valid Credit or Debit card.
• The Customer will submit a valid card at the time of order. This card will be submitted to a Merchant Service for validation.
• WyPoint will not retain card information directly. Card information may either be used once, and only once for the specific transaction, or be placed in the Merchant Service PCI-compliant vault for future use. The Customer may select the desired option. Should the Customer call for the deletion of the card, WyPoint will drop all references to that card.
• The card will be billed upon order submission. If the order is altered at the Cleaning Service due to missing or added items, the card will be re-billed for any difference. Should an order be submitted without itemization by the Customer, the balance of the order will be billed when received by the Cleaning Service.
• Should a transaction fail, the Cleaning Service may decline to process the order. If the card fails initial validation, the order will not be scheduled for pickup.

Limits to Liability:

• Both the contracted Cleaning Service and Customer must agree if orders may be left unattended at the pickup/drop off location. If both parties have agreed to leave order at the pickup/drop off location unattended, neither the Cleaning Service nor WyPoint are responsible for the theft or loss of the order and its components.
• If the Cleaning Service and the Customer have agreed that orders must be attended for either pickup or delivery, and the Customer-specified pickup/drop off location is not attended during the specified route pickup/drop off time, the cleaning service may charge the customer a missed pickup/delivery fee. This fee is unique to the Cleaning Service, and the amount is specified in the Cleaning Service WyPoint profile.
• A Cleaning Service is not responsible to pay a claim for garment loss of damage higher the ten (10) time the amount charged the Customer to clean the item.
• A Cleaning Service will count the number of items in the order prior to processing the order. If additional items are found in the order, those items will be added to the order and billed to the credit card used by the Customer for the order. If an item is not found in the order, the cleaning service will mark the item as missing from the order, and that amount will be refunded to the customer. A garment cannot be marked as missing after the Cleaning Service has marked the item as received.
• WyPoint facilitates the transactions between the Customer and the Customer-selected Cleaning Service. Any claims against the services offer and performed by the Customer-selected Cleaning Service are between the Customer and the Cleaning Service.
• A customer has up to, and including, ten (10) days to make a claim against a lost or damaged garment. Once a claim as been established, the Customer and Cleaners has up to, and including, fourteen (14) days to settle the claim. After the fourteenth day, unsettled claims will be removed. WyPoint will mail the settlement amount to the Customer within thirty (30) days.

Data and Data Ownership:

• WyPoint retains ownership of all data derived through the WyPoint system. Cleaning Services may use data as provided to them by the WyPoint system, but may not retain those data. Specifically, customer data belong to WyPoint and not the Cleaning Service.
• WyPoint will not release or sell Customer data such as email and phone number. WyPoint may sell aggregated statistics reference to customer local areas, but no data directly referencing a specific customer name, address, or email will ever be released.
• Customer order history information will be retained through the October following the previous calendar year. On the first of November a summary record will be created for the following year containing to amount spent, number of orders, and number of garments processed by generalized classifications. All detail records will be deleted following the creation of the summary records.
• A Customer Detail Report will be available to the Customer through October following the prior calendar year. Summary records will be available to the customer for five years following the deletion of the prior calendar year detail records in November.
• WyPoint will used Customer emails to release System Announcements, Order Status Alerts, and Newsletters. Customers may elect not to receive Order Status Alerts and Newsletters.
• If desired, Customers may opt to open their email to any Cleaning Service which operates in their zip code. Cleaners will have access to a specific Customer email once that Customer places an order. Likewise, the Cleaning Service will have continued access to the Customer email is the Customer agrees to be placed on a Cleaning Service Marketing Group.
• If desired, Customers my opt not to be placed in Cleaning Service Marketing Groups.
• WyPoint cannot prevent the use of Customer email and contact number should a Cleaning Service retain these data following a Customer Order, although these Terms and Condition express prohibit the Cleaning Service from doing so.

Coupons, Promotions, and Gifts:

• A Cleaning Service may offer discount coupons to anyone within the route areas of the Cleaning Service. Coupons may be either a percentage discount of the entire order, or a dollar amount off should a specific dollar amount be ordered. Discount coupons have specific start and end dates which are controlled by the Cleaning Service. An order must be placed within the boundaries of the desired discount coupon. WyPoint implements the discount once the total order amount is known.
• A Cleaning Service may offer one of four types of promotions: a percent amount off a list of specific garment types, a percent amount off a given cleaning process, a percent amount off a entire garment class, or the percent off the entire order. These promotions are only available to those who have the exact Promotion Code, a code which the Cleaner Service as full control in terms of structure and Promotion Code distribution. The Cleaning Service may further constrain a Promotion Code to a specific list of Customers. This list is referred to as a Marketing Group. A Customer may bar their account from use within  a Marketing Group by unchecking Marketing Group from their User Profile.
• A Cleaning Service may offer a percentage of the sale to be donated to a third-party organization as a Gift. The Cleaning Service must consent to this gift, and WyPoint will collect the gift and deliver it to the third-party organization without commission or additional cost.

Agreement Duration and Termination:

• This agreement will continue until either the Customer withdraws from WyPoint by deleting their profile, or WyPoint elects to terminate the Customer. Either party may terminate this agreement at any time and for any reason.
• Should a Customer elect to delete their profile, their account will be closed immediately. The entire Customer account and order history information will be deleted the October following the last calendar year containing Customer activity.
